Ignite Equity Partners is a privately led organization committed to finding, funding, and mentoring great young companies from pitches through successful exits. Ignite Equity Partners consists of over 100+ years of the collective wealth of experience across diverse industry sectors.

Ignite Equity Partners is an active Angel Investment company based out of Orlando City and has invested over $10 million in entrepreneurial ventures. In the aggregate, Ignite Equity Partners typically invests $25,000 to $500,000 in a given seed/early-stage company’s initial round, participate in follow-on rounds, and syndicate deals with Angel group partners and VCs. Owing to the diverse experience of the advisors, the group has gained experiences spanning from diverse sectors. The strength of the group is its ability to invest to help entrepreneurs define, track and achieve their goals, and to make introductions to customers, vendors, potential employees, and later-stage investors that can accelerate growth.

Ignite Equity Partners invests as a company, with additional investment funds available as appropriate from a sidecar fund. We collaborate on due diligence but make investment decisions based on a thorough review of all information, including meeting and speaking with representatives of the company.

INVESTMENT CRITERIA

As an aggregate, the members of Ignite Equity Partners invest between $25,000 and $500,000 per round in early-stage companies. Our members are looking for companies that have established proof of concept and are poised for growth. Members have invested across multiple industries but have a core strength in business products and services, digital media, financial services, health tech, and medical devices. While the merits of each investment will vary, our members will evaluate your venture according to various criteria:

Management Team

We look for teams of high-quality entrepreneurs with a proven track record of leadership and performance, either in the company's specific industry or in prior entrepreneurial ventures. We also look at your team's passion for and commitment to the new business ideas, and your ability to inspire confidence among future stakeholders, including employees, potential customers, and investors. As we will be working together as partners, your team's credibility is highly essential. Also, your team must be open and comfortable with receiving inputs provided by Angel investors.

Market Opportunity

We invest in solutions that focus on major problems for significantly large addressable target markets.

  • Do you have an identifiable market segment?
  • Is there a demonstrable and significant demand for your solution?
  • Is the projected spending in your product category large and growing?

Competition and Competitive Advantage

• Have you identified your potential competitors?
• Do you understand your company's differentiation points?
• Will true barriers to entry help your company to maintain a competitive advantage?
Your company should have some proprietary features that distinguish you from potential competitors or provide barriers to entry that prevent other companies from capturing your customers with a similar offering. Attributes that convey competitive advantage include intellectual property protection, exclusive licenses, exclusive marketing and distribution relationships, strong brands, scarce human resources (i.e. knowledge and skills), and access to scarce raw materials.
Along with all those possessions, and other important factors to concentrate, it is important to note that:
• Have you protected your intellectual property?
• Have you performed an exhaustive search to be sure that you are not infringing on patents or trademarks held by others?

Go to Market Strategy

We are seeking teams that have derived thoughtful, well-designed frameworks for maximum market penetration with efficient use of resources, whether internally or externally sourced.

Financials

We are looking for rational, logical, and reasonable revenue projections, with a granular analysis of cost structures, inflection points in the sensitivity of these structures to volume, margin, analysis with projected cash flow break-even, etc. We typically see income statements, balance sheets, and cash flow analysis (sources and use of funds), as well as a clear identification of projected uses of funds to be raised in this round and total capital required to achieve break-even.

Use of Proceeds

Funds must be used to accelerate your company's achievement of key milestones that increase the company's values. We often fund activities that include research and product development, building a sales and marketing infrastructure, and hiring key executives.

Growth Potential

We look for companies that can grow quickly and manage the scale necessary to succeed. Your company must demonstrate a plan to generate significant profits beyond the initial product idea.

Fit

Our group members are all accredited individual investors with significant executive experience in a variety of fields. One of the benefits of working with Angel Investors is the active coaching and contact network that such investors can provide. As such, there must be a fit between members of our group and both your idea and your team.

Exit Strategy

Our members typically seek returns of ten to twenty times their initial investment, depending on the riskiness of the plan. This risk-adjusted level of return on investment is essential due to the high rate of failure among early-stage ventures. Thus, a well-articulated exit strategy - how Angel investors will realize such returns is essential. For example, do you plan to sell the company to a strategic buyer - have you identified several established corporations in your industry as potential acquirers? Or will your exit be through subsequent rounds of financing - venture capital or the public markets? Angel investors are not just interested in the strategy you select, but more importantly in the mechanics - the operational strategy that outlines specific steps you will take to achieve the exit.

INVESTMENT PROCESS

Before submitting your business plan for our consideration, you must determine if Angel Capital - and specifically capital from our group - is right for your company. The Angel Investment Criteria will be helpful to guide you through this process. Complete an application outlining the key characteristics of your company. A team of industry experts will review the application and determine if it is a good fit for our group. If it is deemed a good fit, then you will be invited for a screening presentation.

Please note that during the COVID-19 PAUSE, all our meetings and presentations will be virtual.

Screening Meeting

Screening is held once a month with up to 1-3 companies. Screenings are in-person in Orlando and consist of a 15-minute presentation to approximately 2 to 4 members, followed by a 5 minute Q & A. If there is interest to move forward, then the company moves to discovery.

Discovery

Discovery is one to a two-hour meeting at which a more in-depth discussion will occur on the key issues influencing the future success of your business. No additional preparation is necessary for Discovery. If there is sufficient interest following Discovery, members will commence to Due Diligence.

Due diligence

During due diligence, interested investors will verify the statements made in your business plan, presentation, and financial projections. They will thoroughly research your team's background and track record, and will often conduct calls with customers and vendors. An initial discussion of valuation and terms will happen early in due diligence to make sure the two parties are within the working distance of each other and that due diligence can proceed. If you play an active role in facilitating this process, then it will help to expedite a final investment decision.

Term Sheet Negotiation

After successful completion of the due diligence process, a term sheet that defines the structure of the proposed investment deal, including the type of equity, investor rights, and board of directors representation, using industry-standard terms and provisions.

Investment Forum Presentation

Once a term sheet has been acknowledged and confirmed by the company and a 20-minute presentation (including Q & A) will be made to the KH team at our monthly meeting.

Funding & Beyond

When all parties are satisfied with the terms and language contained in the term sheet, the term sheet is executed and full documentation is processed reflecting the terms therein, using standard NVCA-Consistent Agreements. But remember, closing the transaction is only the beginning of the Angel Funding process. Now you have access to a network of value-added contacts and experienced professionals who can provide essential guidance for the growth and success of your venture.
